Personal Use License Terms
These License Terms apply only to individuals using Sharadar for personal, non-professional purposes. Institutions, legal entities, organizations, and professional or commercial use are not covered by this License and are not permitted under it. Commercial and institutional users should obtain data through Nasdaq or another appropriate commercial arrangement.
Certain sections in these License Terms of Use are accompanied by simplified versions for easier comprehension. Simplified versions do not supersede or replace the sections they accompany.
"You" and "your" mean a natural person acting in an individual capacity only—not a company, partnership, fund, non-profit, government body, or any other legal entity, and not on behalf of any such entity or organization.
- 1. INTRODUCTION
You will be provided with access to data (the “Services Data”) from the Database (the “Database”) published by Sharadar via the Sharadar platform and website, the Sharadar API, and libraries, programming languages and software programs that utilize the Sharadar API (collectively, the “Services”), under a Personal Use License for individuals only (the “License”). Your access to and use of the Services Data and the Services under the License are subject to these terms of use (“License Terms of Use” or “License Terms”) and all applicable laws and regulations. By accessing and using the Services and Services Data you accept, without limitation or qualification, these License Terms. You are also reminded that in addition to these License Terms, you continue to be bound by Sharadar's Website Terms of Use.

This License is granted solely to natural persons for personal use. You may not use the Services or the Services Data (or any derivation of the Services Data) for professional, commercial, institutional, or organizational purposes of any kind—including for yourself as a professional, for an employer, client, partner, colleague, firm, fund, partnership, corporation, non-profit, government or quasi-government entity, or any other organization. Prohibited uses include, without limitation, professional research, analysis, trading or investing on behalf of others, consulting, operations, publication, marketing, sales, technology development for a business, accounting, or finance work in a professional capacity. If you need data for professional, institutional, or commercial use, this License does not apply and you must not use the Services under it.

This License is not available to legal entities or institutions. You may not accept these License Terms on behalf of a company, partnership, trust, fund, educational institution, non-profit, government body, or any other organization. You may not use an individual account, API key, or subscription to obtain Services Data for use by or within any such entity or organization. Accounts and subscriptions are personal and non-transferable.

Your use of the Services and the Services Data is personal to you, and you may not transfer or make available access to either the Services or the Service Data to others. You may not publish, disseminate, re-distribute or share the Services Data, or any part thereof, or any derivative data that allows reverse engineering of part or all of the Services Data, with anyone else. You may not offer the Service Data, or any part thereof, for sale, rent, license or commercial redistribution. Any sharing or distribution by you of your access privileges or of the Services Data may result in cancellation of your use of the Services and the Services Data without refund.

You will only use the Services and the Services Data as explicitly permitted by this Personal Use License. Sharadar may request reasonable proof that you are using this License appropriately (for example, that you are an individual using the data for personal purposes only). Any use outside the scope of personal, non-professional use by a natural person—including professional, institutional, or entity use—may result in immediate cancellation of your access to the Services and the Services Data without refund, at Sharadar's sole discretion.

If any part of the Services Data including derivations is displayed to the public in any form, it must be accompanied by an attribution in easily readable form within the same display, whether online or in print. If in print, the attribution must read "Data from Sharadar.com". If online, the attribution must read "Data from Sharadar.com" and the attribution text must be hyperlinked to http://www.Sharadar.com/. Public display under this License remains subject to personal use only and does not permit commercial or professional redistribution.

You will not have ownership rights to the Services Data. The Services Data, including but not limited to text, content, and data, is protected by copyrights, trademarks, service marks, international treaties, and/or other proprietary rights and laws of the U.S. and other countries. The Services Data is also protected as a collective work or compilation under U.S. copyright and other laws and treaties. You agree to abide by all additional copyright notices or restrictions contained in the Services Data. You may not use the Services Data for any illegal purpose or in any manner inconsistent with these License Terms. You agree to notify Sharadar in writing (email: [email protected]) promptly upon becoming aware of any unauthorized access or use of the Services Data by any party or of any claim that the Services Data infringes upon any copyright, trademark, or other contractual, statutory or common law rights. You acquire absolutely no rights or licenses in or to the Services or the Services Data or materials contained therein other than the limited right to utilize the Services and the Services Data in accordance with these License Terms.
Simplified:This data is Sharadar's intellectual property. - 8. CONFIDENTIALITY
To the extent that you conduct any sort of testing or evaluation of the Services or the Services Data for purposes of determining usability or fitness for purposes intended, the conclusions arrived at related to the value, usability or fitness for purpose, or any other attributes of the Service or the Services Data shall not be published in any way in any document, electronic or paper, or disclosed in any blog, verbal, or electronic communication, or provided or otherwise disclosed to any outside individual or entity, without prior written approval of Sharadar.
Simplified:You may not publish evaluations of this data without permission. - 9. PAYMENT
The credit card which you provide will automatically and immediately be billed for the Services and Services Data you subscribe to. All currency references are in US dollars. If you cancel your subscription you will no longer be billed but no money already paid will be refunded. If your credit card is invalid for any reason, Sharadar has the right to terminate your access to the Services and the Services Data immediately. Subscriptions under this License are individual and may not be purchased or paid for as a shared institutional or corporate resource.
Simplified:We will bill your personal credit card. - 10. TERMINATION
You may terminate your use of the Services and the Services Data at the end of the then-current subscription period. You agree that Sharadar may, without prior notice, immediately terminate, limit your access to or suspend your use of the Services and the Services Data. Cause for such termination, limitation of access or suspension will include, but not be limited to: (a) breach by you of these License Terms, Website Terms or other incorporated terms or policies; (b) use of the Services or Services Data for professional, commercial, institutional, or entity purposes; (c) non-payment of any fees owed by you in connection with use of the Services or the Services Data; or (d) malicious actions that damage or could damage the integrity of the Sharadar website, the Services or the Services Data. Further, you agree that all terminations, limitations of access and suspensions will be made in Sharadar's sole discretion and Sharadar will not be liable to you or any third party with respect thereto. If Sharadar terminates your use of the Services without cause, Sharadar will provide you with a pro rata refund of any prepaid subscription fees for the Services for the remainder of the then-current subscription period after the date of termination. You agree that immediately upon termination, you will discontinue your use of the Services and the Services Data. You also agree that within thirty (30) days of termination, you will delete from all computer systems owned or operated by you all copies of the Services Data, and all data sets derived from the Services Data, and all software provided to you as part of the Services. You agree that if requested by Sharadar, you shall promptly provide Sharadar with an affidavit certifying compliance with the provisions of this clause.

You understand and agree that the Services and Services Data are provided "as is" without representation, warranty or condition of any kind. Sharadar and its third party suppliers expressly disclaim all warranties and conditions with regard to the website, Services and Services Data, including all implied warranties and conditions of merchantable quality, merchantability, durability, fitness for a particular purpose, title and non-infringement. All content, Services and Services Data are subject to change.

You understand and agree that Sharadar and its third party suppliers make no representation, warranty or condition that: (a) Services or Services Data will be uninterrupted, timely, secure, reliable, accurate or error-free; (b) Services or Services Data will meet your requirements; (c) the website, Services or Services Data will meet your expectations, be suitable for any purpose, or be accurate, complete, reliable, current, timely, adequate, or error-free. Sharadar and its third-party suppliers disclaim all liability for the use or interpretation of the Services Data. The Services Data may be delayed, inaccurate or contain errors or omissions, and Sharadar and its third-party suppliers will have no liability with respect thereto. Sharadar does not endorse nor is responsible for the Services Data of any third party supplier.
Simplified:We provide no service guarantee. - 13. USE AT YOUR OWN RISK
You understand and agree that you obtain Services Data through the Services at your own risk and discretion. You will be responsible for any damage caused to your computer system through your use of the Services, including, without limitation, damage caused by downloading Services data. While Sharadar aims to ensure the safety and high quality of its services, the company cannot and does not represent or warrant that this website or the services it provides are free of viruses or other harmful components.

You understand and agree that under no circumstances will Sharadar or its third-party suppliers be liable for any direct, indirect, incidental, special, consequential or exemplary damages, damages for loss of profits, goodwill, use, data, or other intangible losses (even if Sharadar has been advised of the possibility of such damages) incurred by you or any third parties.

You understand and agree that some jurisdictions do not allow the exclusion or limitation of liability for incidental or consequential damages, so the above limitations and exclusions may not apply to you. In any event, Sharadar and its third-party suppliers will not be liable (whether in contract, tort including negligence or otherwise) for any amount greater than the amount you paid, if any, to Sharadar for accessing the services.

You will indemnify Sharadar, its parents, subsidiaries, affiliates, officers, agents, partners and employees harmless from any claims or demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Website, the Services, or the Services Data, your violation of the License Terms or Website Terms (including any third party supplier's additional terms), or your infringement or violation of any rights of another, including intellectual property rights.

The failure of Sharadar to exercise or enforce any right or provision of these License Terms will not constitute a waiver of such right or provision. If any provision of these License Terms is determined to be invalid or unenforceable pursuant to applicable law, including, without limitation, the warranty and conditions disclaimers and liability limitations above, the parties nevertheless agree that the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the other provisions of the License Terms remain in full force and effect. If the invalid or unenforceable provision cannot be so replaced, then that provision will be considered severable from the remaining provisions, and will not affect their validity and enforceability.

Sharadar reserves the right to change or modify any of the terms and conditions contained in these License Terms at any time and in its sole discretion. Any changes or modification will be effective upon posting of the revisions and notice of such changes to the Sharadar's website. Your continued use of the Services or Services Data following the posting of the changes or modifications will constitute your acceptance of such changes or modifications.
